Southern Ethos Limited, trading as NRG Fitness, is a company registered in Jamaica (Company No. 123174) with its registered office at insert physical address in Jamaica.
By accessing our website at https://www.nrgfitness.org/ or by purchasing any membership, service, day pass, free pass, class, or product (online or in‑club), you agree to be bound by these Terms and Conditions and our Privacy Policy.
If you do not agree, you must not use our website, facilities, or services.
1. Definitions

“Company”, “we”, “us”, “our” means Southern Ethos Limited t/a NRG Fitness.

“Member”, “you”, “your”, “Client” means any person who visits our website, creates an account, purchases a membership, product, or service, or uses our facilities.

“Website” means https://www.nrgfitness.org/ and any related online platform, app, or booking system we operate.

“Services” means all gym services, memberships, classes, personal training, events, online content, and digital products we provide.

“Products” means any physical goods sold by us online or in‑club.
These Terms are governed by the laws of Jamaica.
2. Website Use, Accounts & Online Purchases

You must be at least 18 years old to create an account or make purchases through the Website.

You are responsible for maintaining the confidentiality of your login details and for all activity on your account.

We may suspend or terminate your account or refuse any order where we reasonably suspect breach of these Terms, fraud, or misuse.
Before you pay online, we will clearly display our identity, the description and price of goods/services in JMD, any applicable charges, main steps to complete an order, and key cancellation/refund terms in line with Jamaican e‑commerce and consumer protection standards.
Your order is an offer to buy; acceptance occurs when we send a confirmation or supply the product/service. We may decline or cancel any order; where payment has already been taken, we will refund you.
Payments are processed via approved payment processors (currently Tilopay and Powertranz) and you authorise charges to your selected payment method for purchases and renewals as described in these Terms.
3. Intellectual Property & User Content
All content on the Website is owned by us or our licensors and is protected by intellectual property laws. You may use it only for your personal, non‑commercial use. You must not republish, sell, rent, or redistribute our content without our prior written consent.
If you submit reviews, comments, or other content, you warrant you have the right to do so and that it does not infringe third‑party rights or contain unlawful material. You grant us a non‑exclusive, royalty‑free, worldwide licence to use and display that content for our business purposes. We may remove content we consider inappropriate.
4. Membership Eligibility & Health

By purchasing a membership or day pass, you confirm that you are at least 18 and legally capable of entering a binding contract under Jamaican law.

All members must provide accurate personal information and keep it up to date.
You are responsible for ensuring you are medically fit to exercise. We strongly recommend you consult a physician before starting any exercise programme, especially if you have medical conditions. You must disclose relevant health information on joining and update us if your condition changes.
We may refuse or suspend membership or restrict activities where we reasonably consider that participation could pose a material risk to your health or to others.
5. Assumption of Risk, Liability & Indemnity
You acknowledge that gym activities involve inherent risks including muscle strains, sprains, broken bones, heart events, falls, and other serious injuries or health complications. You voluntarily assume all risks associated with using our facilities, equipment, and services, whether on‑site, outdoors, or online.
Nothing in these Terms limits or excludes any liability that cannot be limited under Jamaican law, including liability for death or personal injury caused by our gross negligence or fraud.
Subject to that:

We provide the Website, facilities, products, and services on an “as is” and “as available” basis and exclude all implied warranties to the fullest extent permitted by law.

We are not liable for indirect, consequential, special, or punitive losses (including loss of profits, opportunity, or data).

Our total aggregate liability for any claim in respect of a product, membership, or service will not exceed the price paid for that product, membership, or service.
You agree to indemnify and hold harmless NRG Fitness, its directors, officers, employees, and agents from all claims, damages, losses, and expenses arising from your breach of these Terms, misuse of our facilities, or violation of any law.
6. Membership Types & Duration
NRG Fitness offers a range of membership options with different durations and access rights. Each membership type is described below, and the specific features and prices may be updated from time to time on our Website or in‑club materials.
Our Prime membership is valid for a period of 15 weeks from the date of subscription and provides unlimited access to the gym floor during our operating hours, including all cardio equipment, weight machines, free weights, and functional training areas. This is generally our most cost‑effective membership type over its full term.
Our Standard membership is valid for a period of 35 days from the date of subscription and also includes unlimited access to the gym floor during operating hours, with the same range of equipment and training areas. This option functions similarly to a rolling monthly membership.
Our Off‑Peak membership is valid for 35 days from the date of subscription and provides access to the gym facilities only between 8:00 a.m. and 4:00 p.m. on days when the gym is open. These hours are typically less busy, offering a more relaxed environment with shorter wait times for equipment, and this membership is generally priced at a reduced fee compared to full‑access options.
Our Basic membership is valid for 8 days from the date of subscription and includes unlimited access to the gym floor during operating hours for members who prefer a short‑term option.
We also offer Day Passes, which provide access for a single day only and are subject to a fair‑use policy. Only one pass may be used per person; multiple passes for the same individual may be cancelled without notice. Day Passes commence once you confirm your acceptance during the online or in‑club sign‑up process, are non‑transferable to another person or another date, are non‑refundable, and confer access to the same facilities as the selected day‑pass category.
From time to time we may issue Free Passes or complimentary trial passes. Free Passes have no resale value, cannot be exchanged for cash or any other product or service, must be used on consecutive days where applicable, and must be started before the advertised expiry date. Any Free Passes set to begin after that date may be cancelled without notice.
7. Membership Fees, Automatic Renewal & Freeze
7.1 Fees & Billing

Membership fees are payable in advance and are generally non‑refundable, subject to the refund provisions below.

The payment method used for the initial purchase will be used for recurring renewals unless updated in your account.

Payments are processed on the first day of each new subscription period.
We may adjust fees from time to time; we will notify affected members in advance, and changes will apply from the next renewal.
7.2 Automatic Renewal & Notice

Except for Basic memberships and Day Passes, memberships automatically renew at the end of each subscription period unless you opt out.

A email reminder will be sent at least 7 days before your renewal date outlining the renewal date, fee, and how to cancel.
7.3 Membership Freeze (billing paused)
You may request to freeze your membership (pause access and billing) for a limited period for the following reasons, subject to proof and our reasonable approval:
1. Illness or medical reasons (member or dependent)
Where you or your dependent is sick, injured, or undergoing treatment and reasonably unable to use the facilities. Acceptable proof must include a medical certificate, doctor’s note, or similar medical documentation.
2. Work‑related reasons
Relocation, transition, displacement, or other major employment changes that reasonably prevent you from attending the gym. Acceptable proof may include a letter from your employer, relocation notice, contract, or similar documentation.
3. Vacation (up to 14 days)
Temporary absence due to travel or vacation for a maximum of 14 days per membership cycle. Acceptable proof may include flight or travel confirmations, hotel bookings, or similar travel documents.
Freeze rules (applies to all reasons):

All membership freezes pause billing: your regular membership dues are reduced to JMD 0 for the approved freeze period.

Your membership end date (or current term) is extended by the length of the approved freeze, so you do not lose paid time.

You may not use the gym facilities during a freeze and your access may be disabled while the freeze is in effect.

Freeze requests must be submitted by email to info@nrgfitness.org before the intended freeze start date and at least 3 days before your next billing date, so the required adjustments can be made in time.

You must be in good standing at the time of the request (no overdue balances).

We may set reasonable limits on freeze frequency and maximum freeze duration per 12‑month period; any such limits will be clearly stated on our Website or at the club and applied consistently.

We may request additional supporting information where necessary to verify your eligibility.
We will act reasonably and transparently in assessing freeze requests and will confirm the approvals accordingly.
7.4 Cancellation & Refunds

New members may request a full refund within 7 days of their initial membership purchase.

After 7 days, membership fees are non‑refundable except for approved medical or relocation cases as set out below.
Medical: If you cannot use the gym due to medical reasons, you may request a refund (once you had not accessed the gym after subscription) or freeze by providing a doctor’s note.
Relocation: If you permanently relocate away from the area, you may request a refund for a unused membership, with proof of relocation (such as a utility bill or lease).
Non‑refundable items: Initiation/administrative fees (if any), merchandise, and gift cards remain non‑refundable, except where goods are defective or not as described under Jamaican consumer protection law.
Refunds will normally be made to the original payment method within 7–14 days of approval.
To stop further billing, you must cancel before the renewal date via “My Subscriptions” in your online account or by notifying us in writing at least 7 days before renewal. Removing a saved card alone does not cancel your subscription.
Where a membership has been placed on an approved freeze, regular membership billing will be paused for the duration of the freeze and will automatically resume when the freeze ends, with the membership term extended by the same period.
8. Access, Hours & Behaviour
8.1 Access & Hours
Members must check in at reception each visit; memberships and passes are personal and non‑transferable.
Current operating hours are:

Sunday: 8:00 a.m. – 5:00 p.m.

Monday – Thursday: 5:00 a.m. – 10:00 p.m.

Friday: 5:00 a.m. – 5:00 p.m.

Saturday: Closed.
We may vary opening hours temporarily (for maintenance, public holidays, events) and will provide reasonable notice via our Website, social media, or in‑club signage where practicable.
8.2 Conduct, Dress code & Equipment use
You agree to comply with all posted rules and staff instructions, to use equipment safely, clean equipment before and after use, re‑rack weights, limit time on cardio machines during peak hours, respect other members’ space, and wear appropriate athletic clothing and shoes with no offensive graphics.
We may issue warnings, suspend or terminate membership, or refuse entry for serious or repeated breaches, disruptive or abusive behaviour, harassment, or conduct that endangers others. Memberships terminated for misconduct may not receive a refund.
We are not responsible for loss, theft, or damage to personal property on the premises, except where caused by our gross negligence or wilful misconduct.
9. Complimentary Food & Beverages
From time to time, We may offer complimentary refreshments such as: bottled water, rehydration drinks, tea, fruit cups, mixed nuts, granola bars or similar items (“Complimentary Items”).
Complimentary Items are discretionary, may change or be withdrawn at any time, and are not part of your membership fee. We do not guarantee their availability, ingredients, or suitability for any particular dietary need.
By choosing to consume any Complimentary Items, you accept that you are solely responsible for checking whether they are safe for you (including any allergies, intolerances, or medical conditions). To the fullest extent permitted by Jamaican law, NRG Fitness is not liable for any illness, allergic reaction, or other adverse effect arising from your voluntary consumption of Complimentary Items, except where caused by our gross negligence or wilful misconduct.
We will take reasonable care in handling and storage, but cannot guarantee that any item is free from specific allergens or cross‑contamination. Members with known allergies or special dietary needs are strongly advised not to consume Complimentary Items.
10. Group Classes, PT, Media & Medical Treatment
Group exercise classes require advance booking and are subject to availability; schedules and instructors may change.
Personal trainers in NRG Fitness operate as independent contractors unless otherwise stated; we are not liable for their acts or omissions except where we directly contract to provide the service and are found legally responsible under Jamaican law.
Where we conduct marketing photography or video, we will seek consent where you are the focus of the content; you grant us a licence to use your image and likeness in such materials without compensation, subject to any withdrawal of consent for future use.
In the event of an accident or medical emergency, you consent to us arranging emergency medical treatment as reasonably necessary and accept responsibility for associated costs.
11. Data Protection & Privacy
We process personal data in accordance with the Jamaican Data Protection Act, 2020 and our separate Privacy Policy, which forms part of these Terms.
12. Changes, Third‑Party Links & Contact
We may update these Terms from time to time; material changes will be communicated via email or Website notice, and the updated Terms will specify the “Last updated” date. Continued use of our Website, facilities, or services after changes take effect constitutes acceptance of the updated Terms.
The Website may contain links to third‑party websites; we do not control and are not responsible for those sites or their content.
